BLACKWELL KENYA TERMS AND CONDITIONS

1. Introduction
Welcome to Blackwell Kenya. By accessing or using our platform, you agree to be bound by these Terms and Conditions. Blackwell Kenya is a marketplace platform that connects Customers with third-party Service Providers. We are a technology and listing facilitator, not a direct provider of the professional services listed.

2. Definitions

  • “Platform”: The website and mobile application operated by Blackwell Kenya.

  • “Customer”: The individual or business seeking to procure professional services.

  • “Service Provider”: The vetted third-party professional or firm listed on the Platform.

  • “Vetting”: The initial background and credential check performed by Blackwell Kenya; this does not constitute an ongoing guarantee of performance.

3. Role of Blackwell Kenya
Blackwell Kenya acts exclusively as an intermediary. We maintain a directory of Service Providers who have passed our initial vetting criteria. While we strive to ensure high standards, we do not employ, supervise, or control the Service Providers. All professional services are provided by independent contractors.

4. Customer Obligations
You agree to:

  • Provide accurate and truthful information when requesting services.

  • Communicate respectfully with Service Providers.

  • Pay all agreed-upon fees for services rendered.

  • Provide timely feedback to assist in maintaining platform quality.

5. Service Provider Vetting & Status
Blackwell Kenya confirms the identity, qualifications, and professional standing of its listed providers at the time of listing. However, we make no representations or warranties regarding the quality, timing, or legality of the services actually provided by the third-party professional. Customers are encouraged to perform their own due diligence when necessary.

6. Payments and Fees

  • Service Fees: Blackwell Kenya may charge Service Providers a listing fee or commission. Customers will be clearly notified of any platform fees applicable to their transaction.

  • Payment Processing: Payments are processed securely through third-party gateways. By making a payment, you agree to the terms of the payment processor.

7. Limitation of Liability
To the maximum extent permitted by Kenyan law, Blackwell Kenya shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the platform;

  • The conduct or performance of any third-party Service Provider;

  • Any services or goods purchased or obtained from a Service Provider.

Our total liability to you for any claim arising from these terms shall not exceed the amount of fees paid by you to Blackwell Kenya in the twelve (12) months prior to the event giving rise to the liability.

8. Dispute Resolution
If a dispute arises between a Customer and a Service Provider, you agree to first attempt to resolve it directly with the provider. Blackwell Kenya may, at its sole discretion, assist in facilitating a resolution but is not obligated to arbitrate claims.

9. Intellectual Property
All content on the Platform, including logos, text, and software, is the property of Blackwell Kenya and may not be used without written permission.

10. Modifications to Terms
We reserve the right to modify these terms at any time. Continued use of the platform constitutes acceptance of the new terms.

11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Republic of Kenya.
